Welcome to Logixin. By accessing or using any of our services, you agree to the following terms and conditions. These terms govern all engagements related to digital marketing, application and software development, AI solutions, and automation tools delivered by Logixin.

1. Scope of Services

Logixin offers a wide range of technology solutions including but not limited to:

  • Web Design and Full Stack Development (using technologies like HTML, CSS, JavaScript, React, Laravel, PHP, MySQL)
  • Custom Software & Mobile App Development
  • AI Product Development and Integration (e.g., chatbots, intelligent agents)
  • Infrastructure Automation Tools (Ansible, Terraform, Snow Orchestrator)
  • SEO, Digital Advertising, and Social Media Marketing
  • Support, maintenance, and consultancy services

2. Project Engagement

  • Projects start only after a formal proposal/quotation is approved by the client.
  • The scope of work, estimated timelines, and deliverables will be clearly defined and mutually agreed upon before development begins.
  • The client agrees to cooperate fully and provide all necessary resources, information, and feedback promptly.
  • Any delays due to lack of information or client-side dependencies may affect the overall timeline and delivery.

3. Payments & Invoicing

  • All services are subject to payment as per the mutually agreed terms and milestones.
  • Delays in payment beyond the due date may result in late fees, suspension of services, or legal proceedings.
  • All upfront and milestone payments are non-refundable unless explicitly stated in the agreement.
  • GST and other applicable taxes will be added as per Indian taxation laws.

4. Intellectual Property Rights

  • All original content, source code, and design materials developed by Logixin remain the intellectual property of Logixin unless a separate written agreement transfers ownership.
  • Clients are granted a non-exclusive, non-transferable license to use the deliverables solely for their internal business operations.
  • Unauthorized redistribution, resale, or reproduction without proper acknowledgment may lead to legal consequences.

5. Third-party Tools & Frameworks Disclaimer

  • Logixin may use third-party plugins, APIs, software libraries, and SaaS platforms as part of the development process.
  • Logixin is not liable for any bugs, security issues, updates, downtimes, or compatibility problems that arise due to third-party tools.
  • The client agrees to accept and manage the associated risks and dependencies.

6. Reuse and Attribution

  • Any code, templates, scripts, or UI/UX designs created by Logixin that are reused for other projects or distributed externally must include written attribution to Logixin.
  • Without such acknowledgment, the client is in breach of copyright terms.

7. Software Limitations & Disclaimer

  • All applications, websites, and tools are provided as-is, based on the agreed scope and current technologies.
  • Logixin does not guarantee uninterrupted service, future-proof architecture, or full compatibility with upcoming platforms or devices.
  • Clients are responsible for performing UAT (User Acceptance Testing) before the final launch.

8. Change Requests

  • Any change in scope post project kickoff must be formally requested in writing.
  • Additional effort or time due to scope change may result in revised estimates, timelines, and billing.
  • Ad-hoc changes without documented approval will not be entertained.

9. Hosting, Domain, and Platform Responsibility

  • Clients are responsible for acquiring and maintaining their own hosting servers, domains, SSL certificates, and email services unless explicitly contracted to Logixin.
  • Logixin is not responsible for any downtime, security breach, or data loss caused by third-party providers.

10. Digital Advertising Terms

  • Digital marketing campaigns will be managed according to the budget, platform policies, and strategies discussed with the client.
  • Logixin does not guarantee specific results such as number of leads, conversions, or ranking improvements.
  • Logixin is not responsible for issues such as platform account suspension, billing errors, or ad rejection.

11. Confidentiality

  • Both parties agree to maintain confidentiality of sensitive business information, trade secrets, customer databases, and proprietary assets.
  • Logixin will not use or disclose any client information to external parties without prior written consent.

12. Client Responsibilities

  • Clients must provide all required materials including content, media files, credentials, and timely feedback for the successful delivery of the project.
  • Any delays in providing these may extend project deadlines without liability to Logixin.

13. Maintenance & Support

  • Support and maintenance are offered only as per the scope defined in the agreement.
  • After project delivery, Logixin is not responsible for resolving issues unless an Annual Maintenance Contract (AMC) or support package is in place.

14. Termination Policy

  • Either party can terminate the project by giving written notice with a valid reason.
  • On termination, the client must clear all outstanding invoices.
  • Any deliverables developed till the date of termination will be shared with the client only after full payment.

15. Limitation of Liability

  • Logixin is not liable for any indirect, incidental, or consequential damages arising from delays, data loss, or service interruptions.
  • Maximum liability under any circumstances shall be limited to the total value of the project contract.

16. Legal Jurisdiction

  • These terms are governed by the laws of India.
  • All legal proceedings will be subject to the jurisdiction of courts located in Madurai, Tamil Nadu.

17. Modifications to Terms

  • Logixin may update these terms and conditions periodically.
  • Clients will be informed via email or website notices, and continued engagement implies acceptance of the revised terms.
